Terms and Conditions of Founders Box Digital Solutions

Please read the following terms and conditions carefully before using the services of our web design services (includes applications and all services we offer). By engaging with our services, you agree to abide by these terms and conditions:

1.Agreement and Scope of Work:

a) The terms of the agreement between the client and Founders Box Digital Solutions (Pty) Ltd shall be defined in a separate contract or proposal.

b) The scope of work, including project specifications, deliverables, and timelines, will be outlined in the contract or proposal.

2.Client Responsibilities:

a) The client shall provide all necessary materials, content, and information required for the completion of the project within the agreed timeframe. If the client fails to provide the necessary information to complete the website although they have paid the deposit, the project will be scrapped, however the domain will remain the property of the client. If the client wishes to resume it after, the will be charged an additional amount of R2 500 (Two thousand Five Hundred Rands) which will be required upfront in order to resume the project.

b) The client is responsible for obtaining all necessary permissions and licenses for any copyrighted, trademarked, or otherwise protected materials provided to the Founders Box Digital Solutions.

3.Intellectual Property Rights:

a) The Founders Box Digital Solutions retains all intellectual property rights, including copyright, of the developed website design, graphics, and code unless otherwise specified in the agreement.

b) Upon receipt of full payment, the client will be granted a non-exclusive license to use the completed website for their intended purpose.

4.Payment Terms:

a) The client agrees to pay the Founders Box Digital Solutions the agreed-upon fees according to the payment schedule outlined in the quotation.

b) Any additional services or changes requested by the client that are beyond the original scope of work will be subject to additional charges.

5.Confidentiality:

a) The Founders Box Digital Solutions agrees to maintain the confidentiality of any proprietary or confidential information shared by the client.

b) The client agrees not to disclose any confidential information, including trade secrets or sensitive business information, obtained from the Founders Box Digital Solutions.

6.Project Delays:

a) The Founders Box Digital Solutions will make every effort to meet agreed-upon project timelines. However, project delays may occur due to unforeseen circumstances, technical issues, or client-related factors.

b) The client agrees to provide timely feedback, approvals, and required materials to facilitate the progress of the project.

c) If the client fails to provide the necessary information (within a period of 5 weeks) to complete the website although they have paid the deposit, the project will be scrapped, however the domain will remain the property of the client. If the client wishes to resume it after, the will be charged an additional amount of R2 500 (Two thousand Five Hundred Rands) which will be required upfront in order to resume the project.

7.Liability and Indemnification:

a) The Founders Box Digital Solutions shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the completed website or any services provided.

b) The client agrees to indemnify and hold Founders Box Digital Solutions harmless from any claims, losses, or damages arising from the client’s use of the website or any breach of these terms and conditions.

8.Termination:

a) Either party may terminate the agreement with written notice if the other party fails to fulfill its obligations or breaches any material provision.

b) In the event of termination, the client shall pay for all services rendered up to the termination date. This means that should the client change their mind after work is done, they are obliged to pay the agreed full initial amount quoted.

9.Amendment and Waiver:

a) Any amendments or modifications to these terms and conditions must be made in writing and agreed upon by both parties.

b) Failure to enforce any provision of these terms and conditions shall not constitute a waiver of that provision or any other provision.
